Company Management Services
IMFC specializes in the provision of company management services, which include incorporation, provision of the registered office address and a managing director, the day-to-day management of the entity and accounting services.
Incorporation
- Name check: through an online connection with the Dutch Trade Register a pre-advice on the availability of the proposed name for the company can be obtained;
- Opening of bank accounts: IMFC can assist with the opening of bank accounts;
- Incorporation of the business entity: IMFC is able to assist in gathering the information that is needed by the Dutch notary in order for him or her to apply to the Netherlands Ministry of Justice for a declaration of no objection for the incorporation of the entity;
- Registration of the business entity with the local authorities, such as the Dutch Central Bank, the Dutch Trade Register and the tax inspectorate.
Domiciliation
- Providing a registered address for the entity;
- Providing dedicated office space, full- or part-time employees, telephone, telefax and reception services.
Management
- Provision of resident corporate or personal managing directors;
- Ensuring that the entity complies with all local laws and regulations;
- Registration of the company and all official data with the Dutch Trade Register, the government and the tax authorities;
- Handling all other Dutch formalities, including shareholders' meetings and Dutch Central Bank reporting;
- Review of agreements entered into by a company;
- Deputizing for the entity as authorized signatory on the bank accounts;
- Deputizing for the entity as proxy holder or secretary;
- Preparation of legal documents;
- Preparation of minutes of board and shareholders' meetings;
- Arranging the formation of special purpose vehicles;
- Setting up of trusts and acting as trustee or protector thereof.
Accounting services
- Bookkeeping;
- Cash management and administration of bank accountants;
- Payroll administration and re-invoicing;
- Preparation of interim and annual statutory accounts;
- Compliance with Dutch Central Bank requirements;
- Filing of corporate income tax returns (in close cooperation with the external tax advisers);
- Filing of VAT tax returns.
